Assessments of Board Practices and Opportunities
Annual assessments of board practices and effectiveness are required for all public companies and
recommended as a best practice for all boards. KirtleyWood LLC has extensive experience conducting this board assessment through an interview process with individual directors.
Steps Included in the Process:
- Conduct 45-to-60-minute interviews with each director.
- Ask questions to better understand the director’s views on what works well and what improvements they would suggest.
- Incorporate questions requested by the company or directors that are specific to current topics, practices, or changes to explore regarding board practices or policies.
- Summarize responses in a way that assures anonymity to all directors.
- Recommend immediate action items for the board to consider.
- Provide other considerations for the governance committee to explore potential recommendations.
